TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

These Terms of Service constitute a legally binding agreement between you (the "Client") and Platinum Real Estate ("Company," "we," "us," or "our") governing your use of our real estate representation and guidance services. By engaging our services, scheduling appointments, or entering into any agreement with Platinum Real Estate, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety.

If you do not agree to these terms, you must not engage our services or utilize any of our offerings. Your continued use of our services following any modifications to these terms constitutes acceptance of such changes.

2. SERVICE DESCRIPTION

Platinum Real Estate provides high-quality real estate representation and guidance services, including but not limited to:

Buyer Representation: We represent buyers in the purchase of residential and commercial real estate properties, providing comprehensive market knowledge, property searches, negotiation services, and transaction coordination from initial consultation through closing.

Seller Listing Strategy: We develop and execute customized marketing strategies for property sellers, including property valuation, staging recommendations, professional marketing materials, market positioning, and negotiation of offers to achieve optimal sale outcomes.

Market Guidance and Analysis: We provide expert analysis of current real estate market conditions, comparative market analyses, investment property evaluation, market trend forecasting, and strategic guidance to inform client decision-making.

All services are provided by licensed real estate professionals in accordance with applicable state and federal regulations. The scope and specific terms of services will be detailed in separate representation agreements, which shall complement and incorporate these Terms of Service by reference.

3. USER OBLIGATIONS

By engaging Platinum Real Estate services, you agree to:

Provide accurate, complete, and current information as required for the provision of services, including but not limited to financial qualifications, property preferences, timing requirements, and any material facts relevant to your real estate transaction.

Respond promptly to communications from Platinum Real Estate representatives and cooperate fully in all aspects of the service relationship.

Maintain confidentiality of any proprietary market analysis, valuation information, or strategic guidance provided by the Company.

Notify the Company immediately of any material changes in your circumstances, financial situation, or real estate objectives that may affect the services being provided.

Conduct yourself professionally and respectfully in all interactions with Company representatives, other real estate professionals, and third parties encountered during the service relationship.

Comply with all applicable laws, regulations, and contractual obligations related to real estate transactions and representation agreements.

Refrain from engaging in any fraudulent, deceptive, or illegal activities in connection with services provided by the Company.

Execute necessary documentation in a timely manner as required to facilitate real estate transactions and service delivery.

4. APPOINTMENT SCHEDULING AND CANCELLATIONS

Initial consultations may be scheduled by contacting Ivy.Porter@platinumrealestate.info or through other communication channels as may be designated by the Company.

Clients are expected to arrive punctually for scheduled appointments. The Company reserves the right to reschedule appointments if a client arrives more than fifteen (15) minutes late without prior notice.

Cancellation or rescheduling of appointments must be communicated to the Company at least twenty-four (24) hours in advance whenever reasonably possible. Repeated last-minute cancellations or no-shows may result in termination of the service relationship at the Company's discretion.

Property showings and site visits are scheduled subject to availability and may require advance notice. The Company will make reasonable efforts to accommodate client schedules but cannot guarantee availability for all requested times or properties.

Third-party appointments including home inspections, appraisals, and closing meetings are subject to the scheduling requirements of those parties and may not be rescheduled without potential financial consequences to the client.

The Company reserves the right to cancel or reschedule appointments due to emergency circumstances, scheduling conflicts, or other reasonable causes, and will provide prompt notice to affected clients.

5. PAYMENT TERMS

Platinum Real Estate compensation for services is typically structured as commission-based fees paid at the closing of real estate transactions, as specified in separate representation agreements and in accordance with industry standards and applicable regulations.

For Buyer Representation services, compensation is generally paid by the seller or listing broker as a cooperative commission, though specific arrangements will be detailed in the Buyer Representation Agreement. In circumstances where seller-paid compensation is not available or is insufficient, the client may be responsible for compensation as agreed in writing.

For Seller Listing Strategy services, commission rates and fee structures will be clearly specified in the Listing Agreement executed between the parties. Commission is typically calculated as a percentage of the final sale price and is due and payable at closing.

For Market Guidance and Analysis services provided outside of a transaction-based representation agreement, fees will be quoted in advance and payment terms will be specified in writing. Payment for consulting services is generally due upon completion of the analysis or as otherwise agreed.

All fees and commissions are exclusive of any applicable taxes, which shall be the responsibility of the client as required by law.

In the event of transaction cancellation or failure to close due to client breach of agreement, the client may be liable for costs incurred by the Company and compensation as specified in the representation agreement.

The Company reserves the right to engage collections services or pursue legal remedies for unpaid fees or commissions due under these terms or any related agreements.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Platinum Real Estate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the services provided, including but not limited to lost profits, lost opportunities, or failure to close a transaction.

The Company's total aggregate liability for any claims arising from services provided shall not exceed the total fees or commissions actually paid to or received by the Company in connection with the specific transaction or service giving rise to the claim.

Platinum Real Estate acts as a representative and advisor but is not responsible for:

The condition of any property, including undisclosed defects, environmental hazards, or code violations, regardless of whether such conditions were discoverable through reasonable inspection.

The accuracy or completeness of information provided by third parties, including but not limited to sellers, other brokers, inspectors, appraisers, lenders, title companies, or government agencies.

Market conditions, property value fluctuations, interest rate changes, or economic factors beyond the Company's control that may affect transaction outcomes.

The performance or non-performance of obligations by buyers, sellers, lenders, inspectors, contractors, or other third parties involved in real estate transactions.

Client investment outcomes, property appreciation or depreciation, rental income potential, or financial returns on real estate purchases or sales.

Delays in transaction closings due to financing issues, title problems, inspection results, or other matters outside the Company's reasonable control.

Clients are strongly encouraged to conduct independent due diligence, obtain professional inspections, secure legal counsel, consult with tax advisors, and thoroughly review all transaction documents before committing to real estate transactions.

The Company maintains errors and omissions insurance as required by applicable regulations, but such insurance does not expand liability beyond the limitations set forth in these terms.

7. WARRANTY DISCLAIMERS

Services provided by Platinum Real Estate are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied.

The Company explicitly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

While Platinum Real Estate strives to provide accurate market analysis, property valuations, and professional guidance, we make no warranty or guarantee regarding:

The accuracy of market data, comparable sales information, or market trend predictions.

The attainment of specific sale prices, purchase prices, or timeline objectives.

The successful completion of any real estate transaction.

The future value appreciation or income-generating potential of any property.

The absence of defects, encumbrances, or title issues affecting properties.

The availability of financing or specific loan terms for buyers.

All market analyses, property valuations, and guidance provided represent professional opinions based on available information and market conditions at the time of analysis. Real estate markets fluctuate, and past performance does not guarantee future results.

Clients acknowledge that real estate transactions involve inherent risks and uncertainties, and the Company cannot guarantee specific outcomes or eliminate all potential risks associated with property purchases or sales.

The Company does not warrant that services will be uninterrupted, error-free, or free from delays caused by circumstances beyond reasonable control.

No oral or written information or advice given by Company representatives shall create any warranty not expressly stated in these Terms of Service.

8. GOVERNING LAW

These Terms of Service and any disputes arising from the service relationship shall be governed by and construed in accordance with the laws of the jurisdiction in which the property or services are located, without regard to conflict of law principles.

Any legal action or proceeding arising from these terms or the services provided shall be brought exclusively in the courts of competent jurisdiction in the applicable service area, and the parties consent to the personal jurisdiction of such courts.

Both parties agree to waive any objection to venue in such courts and any claim that such forum is inconvenient.

If any provision of these Terms of Service is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

The parties agree to attempt to resolve disputes through good faith negotiation and, if appropriate, mediation before pursuing litigation. However, nothing in these terms shall prevent either party from seeking injunctive relief or specific performance when appropriate.

These Terms of Service, together with any executed representation agreements, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.

10. CHANGES TO TERMS

Platinum Real Estate reserves the right to modify, amend, or update these Terms of Service at any time at our sole discretion. Changes may be necessary due to legal or regulatory requirements, changes in business practices, or other operational considerations.

When material changes are made to these terms, we will notify active clients by email to the most recent email address provided to us, or through other reasonable means of communication. Notification will be provided at least fifteen (15) days prior to the effective date of changes when reasonably practicable.

Continued use of Company services following notification of changes constitutes acceptance of the modified terms. If you do not agree to modified terms, you must discontinue use of services and notify the Company in writing of your objection.

Changes to these Terms of Service will not apply retroactively and will not affect the rights and obligations arising from transactions or service relationships entered into prior to the effective date of such changes.

For ongoing service relationships at the time of changes, the modified terms will govern the relationship going forward, while specific transaction terms documented in executed agreements prior to the changes will remain as originally agreed unless all parties consent to modifications in writing.

Clients are encouraged to review these Terms of Service periodically to remain informed of any updates or changes to the terms governing the service relationship.

The Company will maintain prior versions of these Terms of Service for a reasonable period and will provide copies of previously effective terms upon request when relevant to ongoing or past service relationships.
